AGREEMENT TO OUR LEGAL TERMS
We are H3LPRS (“Company,” “we,” “us,” “our”), a nonprofit corporation registered in Wyoming, United States, at 30 N GOULD ST, STE R, SHERIDAN, WY 82801. H3LPRS operates exclusively for charitable purposes, including providing digital literacy education, access to technology, and technical support to underserved communities.
We operate the website https://h3lprs.org (the “Site”), as well as any other related products and services that refer or link to these legal terms (the “Legal Terms”) (collectively, the “Services”).
H3LPRS provides no-cost or low-cost digital literacy classes; assistance with securing affordable devices and internet; and ongoing community tech support for eligible households and seniors. Programs may include: group classes, one-on-one help, safety checkups, and—when available—loaner devices during class, device refurbishment and distribution, and introductions to discounted broadband through third-party providers. We protect your privacy, never sell data, and offer reasonable accessibility and language accommodations. We do not repair physically damaged hardware but may refer you to low-cost options.

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and H3LPRS, concerning your access to and use of the Services. By accessing the Services, you confirm that you have read, understood, and agree to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, YOU ARE PROHIBITED FROM USING THE SERVICES AND MUST DISCONTINUE USE IMMEDIATELY.
We may update these Legal Terms at any time. We will indicate updates by revising the “Last updated” date above. Continued use of the Services after posting revised Legal Terms means you accept the changes.
The Services are intended for users who are at least 18 years old. Minors may participate in certain educational activities under a parent/guardian’s consent and supervision where applicable program policies allow.
We recommend that you print a copy of these Legal Terms for your records.

1. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation or would subject us to any registration requirement. Users accessing the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
Program scope (nonprofit services). We offer educational programming, community tech support, device access (including refurbishment and distribution when available), and referrals to third-party low-cost internet options. Access to certain benefits or equipment may require verification of eligibility (for example, income-based criteria or participation in qualifying public-assistance programs). Availability is limited and not guaranteed.
Loaners and device distribution. Loaner devices are provided for learning activities where available and must be returned in good condition at the end of the session. Distributed devices (if any) are provided “as is” with basic functionality verified; we do not provide manufacturer warranties, and we do not perform physical hardware repairs.
Payments and donations. We use a hosted payment processor (SAQ-A) for any online payments. We aim to comply with applicable charitable-solicitation rules, accessibility requirements (including WCAG 2.1 AA commitments), messaging laws (CAN-SPAM/TCPA/CTIA), and state data-breach notification laws. Depending on activities, additional laws may apply (e.g., HIPAA only if we sign BAAs and handle PHI for a covered entity; federal grant rules when accepting federal funds; COPPA if we knowingly collect data from children under 13). Laws generally not applicable include FERPA, GLBA/FINRA/SOX, and CIPA/E-Rate.

2. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property. We are the owner or licensee of all intellectual property rights in our Services, including source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics (the “Content”), as well as trademarks, service marks, and logos (the “Marks”). The Content and Marks are protected by U.S. and international laws.
The Content and Marks are provided “AS IS” for your personal, non-commercial use or internal organizational purpose only.
Your use of our Services. Subject to these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and download/print portions of the Content for your personal, non-commercial or internal organizational use. Any other use requires our prior written permission.
Your submissions. If you send us questions, comments, ideas, or feedback (“Submissions”), you assign to us all intellectual-property rights in the Submissions, and we may use them for any lawful purpose without compensation. You are responsible for the legality and originality of Submissions you provide.

3. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) all information you submit is true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have legal capacity and agree to these Legal Terms; (4) you are not a minor in your jurisdiction (or are participating with required parental/guardian consent under a program that allows it); (5) you will not access the Services through automated means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use complies with applicable law.

4. USER REGISTRATION
You may be required to register for an account to use certain Services or to manage your membership. Keep your password confidential—you are responsible for all activity under your account. We may refuse, reclaim, or change a username that we determine is inappropriate or misleading.

5. MEMBERSHIPS & PROGRAM FEES
Memberships. H3LPRS may offer optional memberships that provide program access, priority registration, or discount eligibility. Memberships are personal and non-transferable. We may offer scholarships or fee waivers based on need and funding availability.
Billing and renewal. If dues are charged, memberships typically renew on a monthly or annual basis until canceled. You authorize recurring charges to your payment method until cancellation.
Cancellation. You may cancel at any time, effective at the end of the then-current paid term. Contact ops@h3lprs.org for assistance.
Fee changes. We may change membership dues or program fees and will communicate changes in accordance with applicable law.
Tax-deductibility. Membership dues that include benefits of more than incidental value may be only partially tax-deductible (or not deductible). Donation receipts will indicate the deductible portion, if any.
Refunds. Unless required by law or a written program policy, dues and program fees are generally non-refundable after use of any benefits. We will correct mistaken duplicate charges.

6. PROHIBITED ACTIVITIES
Use the Services only for permitted purposes. In addition to the activities listed below, misuse of membership or discount eligibility (for example, providing false documentation, resale of subsidized devices/services, or sharing member-only credentials) may result in suspension or termination of membership and program access.
- Systematically scrape or compile data without our written permission.
- Attempt to obtain sensitive account information from others.
- Bypass or interfere with security features.
- Harass or harm others or misuse support channels.
- Upload malware or spam or use automated bots to interact with Services.
- Impersonate others or misrepresent eligibility.
- Reverse engineer or copy our software/code except as permitted by law.
- Use the Services to compete with us or for unrelated commercial purposes.
- Sell or transfer your profile or membership.

7. USER GENERATED CONTRIBUTIONS
The Services may allow you to submit content (e.g., comments, feedback, stories). You are responsible for your content and must have the rights to share it. You agree not to post unlawful, abusive, or infringing material. Contributions may be used consistent with our Privacy Policy and these Legal Terms.

8. CONTRIBUTION LICENSE
We may access, store, process, and use information and personal data you provide, consistent with our Privacy Policy and your choices. By submitting suggestions or other feedback, you agree we may use and share such feedback for any purpose without compensation. You retain ownership of your Contributions; however, you grant us necessary rights to operate the Services and display your Contributions as intended by the feature you use.

The Services may link to third-party websites or content. We do not control or endorse such sites or content and are not responsible for their practices or availability. Your use of third-party offerings is at your own risk and subject to those parties’ terms and privacy policies.

10. SPONSORS, PARTNERS, AND DISCOUNT PROGRAMS
We may acknowledge sponsors or collaborate with partners to provide discounts, devices, or internet options to eligible members/participants. Unless expressly stated, we do not sell advertising space, and inclusion of a sponsor/partner does not constitute our endorsement of their products or services.
- Eligibility verification. Access to discounts, subsidized devices, or internet service may require verification (for example, income thresholds or proof of participation in qualifying public-benefit programs). You agree to provide accurate documentation and to notify us of changes that affect eligibility.
- Third-party terms. Discounted or low-cost offerings are provided by third-party providers and are subject to their terms, coverage, speeds, equipment, and availability. We do not guarantee approval, performance, or continued availability.
- No resale. Benefits received through H3LPRS programs are for personal/household use and may not be resold, bartered, or transferred.

11. SERVICES MANAGEMENT
We may monitor the Services for violations of these Legal Terms; take action against unlawful or abusive behavior; limit or disable content that burdens our systems; and manage the Services to protect participants and ensure proper functioning. We may set additional program-specific rules for device loans, class attendance, or distribution events to promote equitable access.

13. TERM AND TERMINATION
These Legal Terms remain in effect while you use the Services. We may suspend or terminate access (including membership) for violations of these Legal Terms or applicable law, or for misuse of eligibility-based benefits. If your account is terminated, you may not register again without our permission.

15. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles, for agreements made and performed entirely within Wyoming.

16. DISPUTE RESOLUTION
Binding Arbitration. If we cannot resolve a dispute through informal negotiations, the dispute (except as noted below) will be resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association (“AAA”) and, where applicable, the AAA Consumer Rules. The arbitration may be conducted in person, by phone, online, or via document submission. Unless required otherwise by applicable AAA rules or law, arbitration will take place in Wyoming, USA. Either party may seek to confirm, modify, vacate, or enter judgment on the award in a court of competent jurisdiction.
If a dispute proceeds in court rather than arbitration, it shall be brought in the state or federal courts located in Wyoming, and the parties consent to such courts’ jurisdiction and venue. The U.N. Convention on Contracts for the International Sale of Goods and UCITA do not apply.
No dispute may be brought more than one (1) year after it arose. If any portion of this section is found unenforceable, that portion will be litigated in the courts specified above, and the remainder shall be arbitrated.
Restrictions. Arbitration is limited to the dispute between the parties. No class arbitrations, class actions, or representative actions are permitted.
Exceptions. This section does not apply to (a) disputes to enforce or protect intellectual property rights; (b) claims relating to theft, privacy, or unauthorized use; or (c) requests for injunctive relief.

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT DISCOUNTED THIRD-PARTY SERVICES, DEVICES, OR INTERNET ACCESS WILL BE AVAILABLE, APPROVED, OR CONTINUED, NOR DO WE CONTROL THIRD-PARTY PERFORMANCE, COVERAGE, OR SPEEDS. USE YOUR BEST JUDGMENT WHEN ENGAGING THIRD-PARTY PROVIDERS.

19. LIMITATIONS OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS/REVENUE/DATA, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. IN ALL CASES, OUR TOTAL LIABILITY TO YOU WILL NOT EXCEED THE LESSER OF (A) THE AMOUNT PAID BY YOU TO US IN THE ONE (1) MONTH BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $1.00 USD. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; THOSE LIMITATIONS MAY NOT APPLY TO YOU.

20. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless H3LPRS, its affiliates, and their officers, agents, partners, and employees from losses arising out of: (1) your use of the Services; (2) your breach of these Legal Terms; (3) your breach of your representations and warranties; (4) your violation of third-party rights; or (5) your harmful acts toward other users. We may assume exclusive defense and control of any matter otherwise subject to indemnification at your expense.

We maintain certain data related to your use of the Services to operate and improve programs. Although we perform routine backups, you are responsible for your own data. We are not liable for loss or corruption of data you transmit via the Services.

By visiting the Services, emailing us, or completing online forms, you consent to receive electronic communications and agree that electronic records satisfy legal writing requirements. 24. MISCELLANEOUS
These Legal Terms and any policies posted by us constitute the entire agreement between you and us. Our failure to enforce any right is not a waiver. We may assign our rights at any time. We are not liable for delays beyond our reasonable control. If any provision is unlawful or unenforceable, the remainder remains in effect. No agency, partnership, or employment relationship is created by your use of the Services. These Legal Terms will not be construed against us as drafter.
Donations and receipts. Donations support our charitable mission. Unless we state otherwise, donations are non-refundable to the extent permitted by law. Tax receipts will indicate the deductible amount, if any.
Nondiscrimination. H3LPRS welcomes participants regardless of race, color, national origin, religion, sex, gender identity, sexual orientation, age, or disability. Reasonable accommodations are available upon request.
